Introduction

By accessing the Typza website at https://typza.com or engaging Typza for any services, you agree to be bound by these Terms and Conditions. Please read them carefully. If you disagree with any part of these terms, you should not use this website or engage our services. The materials on this website are protected by copyright and applicable intellectual property law.

1. Who these terms are between

These terms govern all work carried out by Typza, a sole proprietorship based in Aalborg, Denmark ("Typza", "I", "we") for you, the client. They apply from the moment a proposal is accepted or a deposit is paid, whichever comes first, and they sit alongside the specific scope and price stated in your written proposal. Where a proposal and these terms conflict, the proposal wins.

2. Services and scope

Typza provides Squarespace website design, builds, migrations, copywriting, SEO and ongoing website management, as set out in the four published offers. What's included in your engagement is the deliverables list in your proposal — nothing is withheld for a higher tier, and nothing outside that list is assumed.

The sitemap and page count are agreed before work begins. Additional pages, features or integrations requested afterwards are quoted as a written addition and only started once you approve them. Small adjustments are absorbed as a matter of course.

3. Fees and payment

• Projects: 50% deposit to reserve your build slot, 50% on launch. Larger builds may be split into three instalments by agreement.

• Retainers: invoiced monthly in advance.

• Terms: 14 days from invoice date, by bank transfer or card, in USD, EUR or DKK.

• Taxes: prices exclude VAT where applicable. EU business customers with a valid VAT number are invoiced under reverse charge.

• Third-party costs: Squarespace subscription, domain, premium fonts and paid tools are yours to pay directly. Nothing is purchased on your behalf without approval, and no markup is added.

No work begins before the deposit clears. Invoices unpaid after 14 days may pause active work; after 30 days, interest may be applied at the rate permitted by Danish law. I'd always rather have a conversation about cash flow than send a reminder.

4. Your responsibilities

To hit the timeline, I need timely feedback at agreed review points, access to necessary accounts (domain, hosting, analytics), and any brand assets or imagery you want used. Copy is written for you unless the proposal says otherwise.

You confirm you hold the rights to any content, logos, images or trademarks you supply. If feedback stalls for more than 14 days the project may be paused and rescheduled into the next available slot, and if it stalls beyond 60 days the balance becomes payable for work completed to that point.

5. Revisions

Two rounds of revisions are included at each stage — copy, design, then build. Feedback should be consolidated into one response per round. Because copy is approved before design begins, further rounds are rarely needed; where something has genuinely been built wrong, it is corrected regardless of the count. Requests that change agreed direction after sign-off are treated as new scope and quoted.

6. Ownership and intellectual property

On receipt of final payment, full ownership of the delivered website, the copy written for it and all custom design work transfers to you. The Squarespace subscription, domain and analytics accounts are in your name throughout — Typza never holds your site hostage and nothing stops working if the relationship ends.

Typza retains ownership of underlying methods, internal templates, code utilities and processes used to produce the work, plus the right to display the finished site in a portfolio and case study — unless you ask in writing not to, or the engagement is whitelabel, in which case portfolio use requires your explicit written permission. Third-party assets (fonts, stock imagery, plugins) remain licensed under their own terms.

7. Timelines

Launch projects typically run 3–4 weeks and Rebuild projects 4–6 weeks from the completion of discovery and onboarding. These are honest estimates rather than guarantees, and they assume feedback arrives within the agreed windows. If something on my side will cause a delay, you'll hear it as soon as I know, not afterwards.

8. Post-launch support and retainers

Every project includes 30 days of post-launch support covering bugs, fixes and questions relating to what was built. Defects in work I delivered are corrected at no cost regardless of when they surface. New features, content or design changes after that window are quoted separately or covered by a Maintain retainer.

Maintain has no minimum term. Grow carries a three-month minimum, after which both run month to month. Either party may cancel with 30 days' written notice; work already invoiced is not refundable, and everything produced up to that point remains yours.

9. Cancellation and refunds

If you cancel a project after work has started, the deposit covers work completed to that date and is non-refundable; anything already produced (strategy, copy, designs) is handed over. If I cancel a project for any reason other than non-payment or breach of these terms, you receive a pro-rata refund for work not delivered, plus everything completed so far. If the fit is clearly wrong in the first week, I'd rather return the deposit and part ways cleanly than push on.

10. Performance, SEO and results

SEO and content work follows established best practice, and migrations include mapped 301 redirects with before-and-after ranking checks. However, search engines and AI answer engines are third-party systems outside anyone's control: specific rankings, traffic volumes, citation placement, enquiry numbers or revenue cannot be and are not guaranteed. Any figures discussed are informed expectations based on prior work, not promises.

11. Third-party platforms

Your site runs on Squarespace and may use third-party integrations. Typza is not responsible for outages, pricing changes, feature removals or policy changes made by those providers, though I will always help you work around them. Where a platform limitation prevents something you've asked for, I'll tell you before building rather than after.

12. Confidentiality

Both parties agree to keep commercially sensitive information confidential. Credentials you share are stored in an encrypted password manager and removed when the engagement ends. Occasional trusted contractors used for design, writing or migration work are bound by the same obligation. Whitelabel partners are covered by a mutual NDA as standard.

13. Liability

Typza's total liability arising from any engagement is limited to the fees paid for that engagement. Neither party is liable for indirect or consequential losses, including lost profits, lost data or lost business opportunity. Nothing in these terms limits liability for gross negligence, wilful misconduct, or anything that cannot be limited under Danish law.

14. Data protection

Personal data is handled as described in the Privacy Policy, in line with GDPR. Where Typza processes personal data on your behalf as part of a retainer, a data processing agreement is available on request.

15. Governing law and disputes

These terms are governed by Danish law, with the courts of Denmark having jurisdiction. Before any formal step, both parties agree to attempt to resolve the matter directly — in practice, a phone call has always been enough.

16. Changes to these terms

These terms may be updated for future engagements; the date at the top reflects the current version. Changes never apply retroactively to a project already underway — the terms in force when you accepted your proposal are the ones that govern it.
